LIABILITY WAIVER, RELEASE AND ASSUMPTION OF RISK

PLEASE READ THIS DOCUMENT CAREFULLY BEFORE PURCHASING A TICKET OR ENTERING THE EVENT. IT IS A LEGALLY BINDING AGREEMENT THAT AFFECTS YOUR LEGAL RIGHTS. IT INCLUDES AN ASSUMPTION OF RISK, A RELEASE OF LIABILITY THAT EXPRESSLY COVERS CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES, A COVENANT NOT TO SUE, AND AN OBLIGATION TO INDEMNIFY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PURCHASE A TICKET AND DO NOT ENTER THE EVENT. WARNING — FLASHING, STROBING AND MOVING LIGHT. THE EVENT INCLUDES AN LED VOLUME ENVIRONMENT AND OTHER LIGHTING AND PROJECTION EFFECTS THAT PRODUCE BRIGHT, FLASHING, STROBING AND RAPIDLY MOVING LIGHT. THESE EFFECTS MAY TRIGGER SEIZURES IN PERSONS WITH PHOTOSENSITIVE EPILEPSY AND MAY CAUSE DIZZINESS, DISORIENTATION, NAUSEA OR LOSS OF BALANCE. DO NOT ENTER THE LED VOLUME AREA IF YOU HAVE A HISTORY OF SEIZURES OR PHOTOSENSITIVITY, OR ANY OTHER CONDITION THAT MAY BE AGGRAVATED BY SUCH EFFECTS.

  1. Acceptance; Persons Bound. By purchasing a ticket to, registering for, or entering or attending The Mary Experience (the “Event”), you (“Guest” or “you”) acknowledge that you have read and understood this Liability Waiver, Release and Assumption of Risk (this “Waiver”) and agree to be bound by it. If you purchase a ticket or register on behalf of any other person, you represent and warrant that you are authorized to accept this Waiver on that person’s behalf, you accept it on behalf of yourself and each such person, and you agree to deliver a copy of this Waiver to each such person before the Event. Each Guest is separately bound by this Waiver upon entering the Event, and notice of its terms is posted at each entrance.

  2. Released Parties. As used in this Waiver, “Released Parties” means, collectively: (a) Frances Valentine, LLC and its parent, subsidiaries and affiliates; (b) The Savannah College of Art and Design, Inc.; (c) the Mary Tyler Moore Vision Initiative; (d) the owner and operator of the venue at which the Event is held; (e) each sponsor, producer, exhibitor, lender of artifacts, caterer, security provider and other contractor engaged in connection with the Event; and (f) each of the respective officers, directors, trustees, members, managers, employees, faculty, students, volunteers, agents, contractors, licensors,
    insurers, successors and assigns of each of the foregoing.

  3. Description of the Event; Inherent Risks. The Event includes a museum-style walkthrough exhibit featuring rare memorabilia and artifacts, an interactive experience involving movement within an LED-lit volume and display area, a retail pop-up shop, and, at certain sessions, live performances and a reception at which food and beverages are served. Attendance and participation involve inherent risks that cannot be eliminated regardless of the care taken, including without limitation:
    • slips, trips, falls, crowding, jostling and other injuries common to public venues and public assembly;
    • physical movement, contact with other guests, and bumps or collisions while participating in interactive elements;
    • exposure to bright, flashing, strobing or moving lights and other visual and audio effects, including within the LED volume environment, as described in the warning above;
    • loss of, theft of, or damage to personal property;
    • exposure to communicable illness, as described in Section 13; and
    • other risks inherent in attending a public event, whether foreseen or unforeseen.

  4. Assumption of Risk. You knowingly and voluntarily assume full responsibility for all risk of loss, damage, injury, illness, disability or death that may be sustained by you or your property arising out of or relating to your attendance at or participation in the Event, whether or not such risk is described in Section 3, and WHETHER CAUSED BY THE ORDINARY NEGLIGENCE OF ANY RELEASED PARTY OR OTHERWISE, except to the extent caused by the gross negligence or willful or wanton misconduct of a Released Party.

  5. Release of Liability. In consideration of being permitted to attend and participate in the Event, you, on behalf of yourself and your heirs, executors, administrators, personal representatives, successors and assigns, hereby release, waive, discharge and hold harmless the Released Parties from any and all liabilities, claims, demands, actions and causes of action of every kind and nature, whether now known or hereafter discovered, arising out of or relating to any loss, damage, injury, illness, disability, death, expense or property damage sustained by you or your property while attending or participating in the Event or while otherwise present at the venue, INCLUDING ANY SUCH LIABILITY, CLAIM, DEMAND, ACTION OR CAUSE OF ACTION CAUSED IN WHOLE OR IN PART BY THE ORDINARY NEGLIGENCE OF ANY RELEASED PARTY. This release does not extend to, and you do not release, (a) any claim to the extent caused by the gross negligence or willful or wanton misconduct of a Released Party, or (b) any claim that may not lawfully be released under applicable law. It is the express intent of the Parties that this release be given the fullest effect permitted by law, and that if any portion of it is held unenforceable, the remainder shall continue in full force and effect.

  6. Covenant Not to Sue. You agree not to commence, prosecute or assist in any suit, action, arbitration or proceeding against any Released Party with respect to any claim released under Section 5. If you bring any such claim in breach of this Section, you agree to pay the reasonable attorneys’ fees and costs incurred by the affected Released Party in defending it.

  7. Indemnification. You agree to indemnify, defend and hold harmless the Released Parties from and against any loss, liability, damage, claim, penalty or cost, including reasonable attorneys’ fees, arising out of or relating to your negligent or otherwise wrongful act or omission in connection with the Event, including any damage caused by you to any exhibited artifact, artwork, display fixture, equipment or venue property, except to the extent caused by the gross negligence or willful misconduct of a Released Party.

  8. Personal Property. You are solely responsible for your personal property at all times. No Released Party is a bailee of, has any obligation to safeguard, or has any liability for loss of, theft of, or damage to any personal property that you bring to the Event, however occurring, except to the extent caused by the gross negligence or willful misconduct of a Released Party. Lockers, coat check or bag storage, if offered, are provided as a convenience only and at your sole risk.

  9. Exhibit and Artifact Conduct. Many items on display, including original memorabilia and artifacts, are rare, fragile and irreplaceable. You must not touch, handle, lean on, climb on or otherwise come into contact with any displayed artifact, case, plinth, barrier or exhibit fixture, except where expressly invited to do so as part of a designated interactive element. You must supervise at all times any minor in your care. You agree to comply with all posted signage and with all instructions given by Event staff, venue personnel and security at all times.

  10. Alcoholic Beverages. Any alcoholic beverages served at the Event are furnished, served and controlled exclusively by SCAD or by SCAD’s licensed catering operation under its own alcoholic beverage license. You must be at least twenty-one (21) years of age to purchase or consume alcohol and must present valid government-issued photo identification on request. You agree to consume alcohol responsibly, to comply with all instructions of servers, staff and security, and not to operate a motor vehicle while impaired. You assume all risk arising from your own consumption of alcoholic beverages at or in connection with the Event.

  11. Photography, Video and Media Release. (a) Grant. The Event will be photographed, filmed and recorded. You grant the Released Parties an irrevocable, perpetual, worldwide, royalty-free, non-exclusive right and license, with the right to sublicense, to photograph, film and record you, and to use, reproduce, edit, publish, display, perform, distribute and license your name, image, likeness, voice and statements, in whole or in part, alone or with other material, in any medium now known or later developed, for promotional, advertising, editorial, archival, educational and internal academic purposes in connection with the Event and its subject matter. (b) Waiver. You waive any right to inspect or approve any such photograph, recording or use, and any right to compensation of any kind, and you release the Released Parties from any claim for invasion of privacy, violation of any right of publicity, defamation, false light, or any similar or related claim arising out of any such use. (c) Accommodation. If you prefer not to be individually photographed or filmed, please notify Event staff on arrival and staff will use reasonable efforts to accommodate that request. No Released Party can guarantee, and no Released Party is liable for, your incidental appearance in crowd photography, video or livestream. (d) Minors. A parent or legal guardian accepting this Waiver on behalf of a minor grants the rights in this Section, and gives the waiver and release in this Section, with respect to that minor.

  12. Health; Physical Condition; Medical Treatment. You represent that you are physically able to attend and participate in the Event and have no medical condition that would be aggravated by attendance, including any known sensitivity to flashing or strobe lighting. If you have any health concern, consult your physician before attending and consider your participation in the interactive LED experience accordingly. You authorize the Released Parties to summon emergency medical assistance on your behalf if they determine in good faith that it is warranted, and you agree that you are solely responsible for the cost of any medical care or transportation provided to you. No Released Party is obligated to provide medical care, and no Released Party is liable for any act or omission of any independent emergency responder or medical provider.

  13. Communicable Disease. You acknowledge that attendance at any gathering involves a risk of exposure to communicable diseases, including viral and bacterial illness. You knowingly and voluntarily assume that risk and release the Released Parties from any claim arising out of exposure to or contraction of any communicable disease in connection with the Event, except to the extent caused by the gross negligence or willful misconduct of a Released Party.

  14. Rules of Admission; Right to Refuse or Revoke Entry. A ticket is a revocable license to attend the Event and confers no other right. The Released Parties reserve the right, without refund, to refuse entry to, or to remove, any person who (a) fails to comply with this Waiver, with posted rules, or with the instructions of staff or security, (b) appears to be intoxicated or impaired, (c) is under the influence in a manner that creates a risk to that person or others, or (d) engages in disorderly, unsafe, harassing or unlawful conduct. Bags and personal items may be subject to inspection as a condition of entry. Prohibited items include weapons, outside alcohol, professional recording equipment, and any item identified in posted rules.

  15. Changes to the Event; Cancellation. Programming, performers, exhibited artifacts, session times and Event elements are subject to change or substitution without notice. If the Event is cancelled in whole or in part, or is rescheduled, the sole remedy of a ticketholder is a refund of the ticket price actually paid for the cancelled portion, and in no event shall any Released Party be liable for travel, lodging, or any other incidental or consequential cost or damage.

  16. Minors. (a) A Guest under eighteen (18) years of age must be accompanied at all times by a parent or legal guardian, who is responsible for supervising the minor throughout the Event. (b) The parent or legal guardian accepts this Waiver both individually and on behalf of the minor, and represents that he or she is the minor’s parent or legal guardian with authority to do so. (c) The parent or legal guardian, individually: (i) assumes on behalf of himself or herself and the minor the risks described in this Waiver; (ii) releases the Released Parties from all claims of the parent or guardian arising out of injury to the minor, including claims for medical and other expenses, loss of the minor’s services or companionship, and loss of consortium; and (iii) agrees to indemnify, defend and hold harmless the Released Parties from and against any claim brought by or on behalf of the minor arising out of the minor’s attendance at or participation in the Event, except to the extent caused by the gross negligence or willful misconduct of a Released Party. (d) Each provision of this Section is intended to be given the fullest effect permitted by applicable law, and the unenforceability of any provision as to the minor shall not affect its enforceability as to the parent or legal guardian.

  17. Third-Party Beneficiaries. Each Released Party that is not a party to this Waiver is an intended third-party beneficiary of this Waiver and is entitled to enforce it directly against you as if it were a party. There are no other third-party beneficiaries of this Waiver.

  18. Governing Law; Venue. This Waiver is governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Waiver or to the Event shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts and waive any objection to venue or to an inconvenient forum.

  19. Severability; Survival. If any provision of this Waiver is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to render it enforceable, or if it cannot be so modified, shall be severed, and the remaining provisions shall continue in full force and effect. Sections 4 through 13, 16, 17, 18 and this Section 19 survive the conclusion of the Event.

  20. Entire Agreement; Amendment. This Waiver, together with the terms of sale applicable to your ticket, constitutes the entire agreement between you and the Released Parties with respect to its subject matter and supersedes all prior and contemporaneous understandings with respect to that subject matter. The version of this Waiver in effect on the date you purchase a ticket or, if later, on the date you enter the Event, governs. No amendment or waiver of any provision is effective unless in writing and signed by an authorized representative of Frances Valentine, LLC.

  21. Electronic Acceptance. You agree that your electronic acceptance of this Waiver, including by checking a box or clicking a button at the time of ticket purchase or registration, constitutes your electronic signature and has the same force and effect as a handwritten signature, and that a record of your acceptance may be retained and relied upon as evidence of your agreement.

I HAVE READ THIS LIABILITY WAIVER, RELEASE AND ASSUMPTION OF RISK. I UNDERSTAND ITS TERMS, INCLUDING THAT IT RELEASES CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES AND THAT I AM GIVING UP SUBSTANTIAL LEGAL RIGHTS. I ACCEPT IT VOLUNTARILY, ON BEHALF OF MYSELF AND EACH PERSON FOR WHOM I AM PURCHASING A TICKET OR REGISTERING, INCLUDING ANY MINOR IN MY CARE.
